1. Who We Are

These terms govern the sale of goods and services by Signs Now, a trading name of Signs Now UK Limited, company number 03193404, registered office at Vision House, Calibre Industrial Park, Laches Close, Four Ashes, Wolverhampton, WV10 7DZ ("we", "us", "the Seller"), to any buyer placing an order with us ("you", "the Buyer") — including schools, colleges, academies and trusts.

These conditions form the basis of the contract between us and take precedence over any of your own standard purchase terms.

2. Using This Website

All content on this site — including text, images, logos and designs — belongs to us or our licensors and may not be copied, reproduced or reused without permission. Product images and specifications may vary slightly from what's shown online; we reserve the right to update or remove content at any time.

3. Quotes & Orders

Every order you place is treated as an offer to buy goods and services from us on these terms. Signing our quotation, or otherwise confirming an order in writing, counts as your acceptance of these terms in full — they replace any purchase terms of your own unless we've agreed something different in writing.

Once placed, an order cannot be cancelled without our written agreement (see Cancellations, below).

Our Price Match Promise applies to genuinely like-for-like quotes from another UK signage supplier for equivalent products, materials and service — send us the details and we'll do our best to match it.

4. Design & Proof Approval

Before manufacture begins on a bespoke project, we'll provide a design proof for your review and sign-off. Please check all wording, measurements, colours and positioning carefully — approving a proof confirms it's correct, and we manufacture to that specification. Design and advisory services are provided with reasonable care and skill, but we can't guarantee outcomes that depend on approvals or information outside our control.

5. Pricing & Payment

Prices are as stated on our quotation and exclude VAT, which is charged at the rate in force at the date of invoice. We may increase the price before delivery to reflect cost increases genuinely outside our control (for example material costs, currency fluctuation, or changes to delivery dates, quantities or specification that you request).

Payment terms:

• Customers with an agreed credit account: payment is due within 30 days of our invoice.
• Without a credit account: payment is due on delivery, unless we've agreed otherwise in writing.

Interest accrues on overdue invoices at 8% per annum above the Bank of England base rate, calculated daily until paid. Invoices must be paid in full — no deductions or set-offs against other claims.

6. Delivery & Installation

Where a project includes a site survey or installation, our team — all DBS-checked and trained to work on school premises — will arrange a suitable time with you. Please ensure we're given reasonable site access and told of any site-specific safeguarding or access requirements in advance.

We use reasonable endeavours to deliver or install on the agreed date, but we don't guarantee it, and time of delivery isn't treated as essential to the contract. We're not liable for loss or damage arising from late or short delivery — if a delivery is short, you agree to accept what's delivered as part performance rather than reject it outright. If you're unable to take delivery on the agreed date, we may store and insure the goods and charge you reasonable costs for doing so.

7. Inspection & Acceptance

Please inspect goods within 48 hours of delivery. Goods are treated as accepted 48 hours after delivery unless you've told us in writing, within 3 working days, of any defect a reasonable inspection would reveal.

8. Risk & Ownership of Goods

Risk in the goods passes to you on delivery. However, ownership (title) remains with us until we've received payment in full — until then, you hold the goods on our behalf and must keep them identifiable as ours. If payment is significantly overdue, we may recover the goods.

9. Guarantee & Defects

All permanent signage we supply comes with a minimum 5-year guarantee against manufacturing defects and workmanship under normal use — this doesn't cover damage from accident, vandalism, misuse, unauthorised modification, or weather exposure beyond what the product is designed to withstand.

Separately, if a latent (hidden) defect caused by faulty design, materials or workmanship shows up within 3 months of delivery, tell us in writing within 7 days of noticing it, and we'll repair, replace or refund at our choice.

Flagged for review: our standard trade terms specify a 3-month/7-day claim window, while our schools marketing promises a 5-year guarantee. Please confirm with your solicitor how these two should sit together on this page so customers aren't given conflicting claim windows.

10. Cancellations

Because signage is typically manufactured to your school's specification, an order cannot be cancelled once placed without our written agreement. If you need to change or cancel a project, contact us as early as possible — we'll always try to be reasonable, particularly before design work or manufacture has started.

11. Intellectual Property

Design concepts and artwork we produce remain our intellectual property unless agreed otherwise in writing, though you're granted the right to use the final approved design in connection with the signage supplied. Where goods are manufactured to your own design or specification, you agree to indemnify us against any claim — including intellectual property infringement — arising from that design or specification.

We may photograph completed installations for our own portfolio and marketing, including case studies on this website, unless you ask us not to.

12. Liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud, or anything else that cannot legally be excluded. Subject to that, our total liability for any order is limited to the invoice price of the goods concerned, and we're not liable for indirect or consequential losses.

13. Overdue Accounts

Invoices on credit accounts are due within 30 days. Accounts still outstanding beyond that may be passed to our solicitors for collection, and will be subject to a surcharge of 15% plus VAT, plus £50 towards collection costs — payable by you along with any further legal fees incurred.

14. Governing Law

These terms are governed by the laws of England and Wales. Any legal proceedings we bring to recover a debt will be issued at the court nearest to our registered office in Wolverhampton.
